Introduction

United Pacific Industries, Inc. ("UPI," "we," "us," or "our") respects your privacy. This Privacy Policy explains how we collect, use, disclose, sell, share, retain, and protect personal information when you visit or use www.upauto.com, truck.upauto.com, classic.upauto.com, any related dealer portals, customer account features, forms, or other websites or online services that link to this Privacy Policy (collectively, the "Site").

This Privacy Policy is intended to describe our online and offline information practices and the rights available to consumers under applicable privacy laws, including the California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, the "CCPA").

This Privacy Policy is part of our Site Terms of Use. By using the Site, you agree to the collection and use of information as described in this Privacy Policy, subject to your privacy rights and choices described below.

We may update this Privacy Policy from time to time. When we make material changes, we will post the revised policy on the Site and update the "Last Updated" date. Where required by law, we will provide additional notice or obtain consent.

1. Personal Information We Collect

We collect personal information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked with a particular consumer or household. We may collect the following categories of personal information, depending on how you interact with us:

  • Identifiers: name, company name, postal address, billing address, shipping address, email address, telephone number, account username, IP address, online identifiers, and similar contact or account identifiers.
  • Customer records information: payment-related information, billing and shipping information, purchase records, account information, and information needed to process orders, returns, credits, and customer support requests.
  • Commercial information: products viewed, products purchased, order history, dealer/customer status, warranty claims, return history, preferences, catalog or flyer requests, and communications with our customer service team.
  • Internet or other electronic network activity: browsing history on the Site, search history on the Site, pages viewed, referral URLs, clicks, interactions with emails or ads, device information, browser type, operating system, cookies, pixels, and analytics information.
  • Geolocation information: approximate location inferred from IP address or shipping/billing information; we do not intentionally collect precise geolocation from consumers through the Site unless disclosed at the point of collection.
  • Audio, electronic, visual, or similar information: voicemail, call recordings if calls are recorded, emails, chat messages, form submissions, photographs or images you provide, and security camera footage if you visit our facilities.
  • Professional or employment-related information: company name, job title, department, business contact details, resale/dealer information, and business qualification information submitted through dealer applications or account requests.
  • Education information: we do not generally collect education information, but it may be collected if voluntarily provided in communications or forms.
  • Inferences: preferences, characteristics, trends, or account/customer segments derived from order history, browsing, interactions, and communications.
  • Sensitive personal information: account log-in credentials, payment card or financial account information processed by our payment processors, and other sensitive information you voluntarily provide or that is necessary for fraud prevention, account security, order fulfillment, or legal compliance.

We do not seek to collect Social Security numbers, driver’s license numbers, passport numbers, biometric identifiers, genetic data, health information, sexual orientation, religious or philosophical beliefs, union membership, or precise geolocation through the Site unless specifically disclosed at the point of collection or required for a particular legal or business purpose.

2. Sources of Personal Information

We may collect personal information from the following sources:

  • You directly, such as when you create an account, become a dealer, place an order, submit a form, contact customer service, request a catalog, sign up for emails, participate in a survey or promotion, or otherwise communicate with us.
  • Your device and browser, including through cookies, pixels, tags, logs, and similar technologies.
  • Our affiliates, service providers, contractors, vendors, payment processors, shipping providers, analytics providers, marketing partners, and fraud-prevention providers.
  • Business customers, dealers, distributors, sales representatives, trade show contacts, and other business contacts.
  • Publicly available sources and commercially available sources, where permitted by law.

3. Purposes for Collecting and Using Personal Information

We collect and use personal information for the following business and commercial purposes:

  • To create, maintain, secure, and manage customer, dealer, and online accounts.
  • To process orders, payments, shipping, returns, exchanges, credits, warranties, and customer service requests.
  • To provide product information, dealer portal functionality, catalogs, flyers, sell sheets, technical support, and other requested services.
  • To communicate with you about orders, accounts, products, services, administrative notices, policy changes, and customer support.
  • To send marketing communications, newsletters, product announcements, promotions, and other information that may be of interest, subject to your opt-out choices.
  • To personalize and improve the Site, product offerings, marketing, user experience, analytics, reporting, and business operations.
  • To conduct advertising, retargeting, measurement, and analytics, including through cookies, pixels, and similar technologies.
  • To detect, prevent, and respond to fraud, security incidents, malicious activity, unauthorized access, and other illegal or harmful activity.
  • To comply with legal obligations, tax and accounting requirements, law enforcement requests, court orders, subpoenas, and enforce our agreements and policies.
  • To evaluate or complete a merger, acquisition, financing, restructuring, sale of assets, bankruptcy, or other business transaction involving all or part of UPI.

4. How We Disclose Personal Information

We may disclose personal information to the following categories of recipients:

  • Service providers and contractors, including payment processors, order management providers, shipping and logistics companies, customer service providers, cloud hosting providers, IT providers, website vendors, fraud-prevention providers, analytics providers, email service providers, and professional advisors.
  • Affiliates and related entities for internal business purposes.
  • Advertising and analytics partners that help us measure Site activity, deliver or measure advertising, and understand customer interests.
  • Business partners, dealers, distributors, or vendors when necessary to provide products, services, support, or information you requested.
  • Government authorities, law enforcement, courts, regulators, or other parties when required or permitted by law or when we believe disclosure is necessary to protect rights, safety, property, or security.
  • Successors or potential successors in connection with a merger, acquisition, financing, restructuring, sale of assets, bankruptcy, or similar business transaction.

We require service providers and contractors to use personal information only for the services they provide to us and to protect personal information as required by law and contract.

5. Sale or Sharing of Personal Information

We do not sell personal information for money.

However, some privacy laws define "sale" or "sharing" broadly. If we disclose identifiers, internet or electronic network activity, commercial information, or inferences to advertising, analytics, or marketing partners for cross-context behavioral advertising or similar purposes, that activity may be considered a "sale" or "sharing" under the CCPA. California residents may opt out as described in the "Your California Privacy Rights" section below.

In the preceding 12 months, we may have sold or shared the following categories of personal information for advertising, analytics, or marketing purposes: identifiers, internet or other electronic network activity information, commercial information, and inferences.

The categories of third parties to whom personal information may have been sold or shared include advertising networks, analytics providers, marketing technology providers, and social media or digital advertising platforms.

We do not knowingly sell or share the personal information of consumers under 16 years of age. 

6. Cookies, Analytics, Advertising, and Opt-Out Preference Signals

We use cookies, pixels, tags, log files, and similar technologies to operate the Site, remember preferences, maintain account sessions, improve performance, measure traffic, understand how the Site is used, support security, and conduct analytics and advertising.

You may be able to control cookies through your browser settings. Blocking cookies may affect Site functionality, including account login, cart, checkout, dealer portal, and personalization features.

We may use third-party analytics and advertising technologies that collect information about your activity on the Site and other websites over time. These technologies may be used to deliver or measure interest-based advertising.

Do Not Track. Some browsers offer a "Do Not Track" signal. There is not currently a uniform industry standard for responding to Do Not Track signals, and we do not respond to browser Do Not Track signals.

Opt-Out Preference Signals. Where required by applicable law, we will process recognized opt-out preference signals, such as Global Privacy Control, as a request to opt out of the sale or sharing of personal information for the browser, device, and, when we can reasonably associate the signal with your account, your account. If you are not logged in or we cannot associate the signal with your account, the signal may apply only to that browser or device.

Website implementation note: if UPI uses advertising or analytics cookies that may constitute "sale" or "sharing," the Site should include a conspicuous footer link titled "Do Not Sell or Share My Personal Information" or "Your Privacy Choices," and should honor recognized opt-out preference signals.

7. Retention of Personal Information

We retain personal information for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, including to provide products and services, maintain accounts, comply with legal, tax, accounting, warranty, product safety, recordkeeping, and reporting obligations, resolve disputes, prevent fraud, enforce agreements, and maintain security.

The criteria we use to determine retention periods include the nature of the information, the purpose for which it was collected, the length of our relationship with you, legal and regulatory requirements, contractual obligations, operational needs, and risk management considerations.

8. Your Choices

Marketing Communications. You may opt out of marketing emails by using the unsubscribe link in the email or by contacting us. Even if you opt out of marketing emails, we may still send non-marketing messages, such as order, account, security, customer service, or legal notices.

Account Information. You may be able to access or update certain account information by logging into your account or contacting us.

Cookies and Advertising. You may control certain cookies through your browser settings and may use available privacy controls or opt-out preference signals as described above.

9. Your California Privacy Rights

If you are a California resident, the CCPA gives you certain rights regarding your personal information. These rights are subject to exceptions and limitations under applicable law.

  • Right to Know/Access. You may request that we disclose the categories of personal information we collected about you, the categories of sources, the business or commercial purposes for collection, sale, sharing, or disclosure, the categories of third parties to whom we disclose, sell, or share personal information, and the specific pieces of personal information we collected about you.
  • Right to Delete. You may request that we delete personal information we collected from you, subject to legal exceptions.
  • Right to Correct. You may request that we correct inaccurate personal information we maintain about you.
  • Right to Opt Out of Sale or Sharing. You may request that we not sell or share your personal information, including for cross-context behavioral advertising.
  • Right to Limit Use and Disclosure of Sensitive Personal Information. You may request that we limit the use and disclosure of sensitive personal information to purposes permitted by law. We use and disclose sensitive personal information only for purposes that are reasonably necessary to provide requested products or services, maintain account security, process payments, prevent fraud, comply with law, and other purposes permitted by the CCPA regulations, and we do not use sensitive personal information to infer characteristics about you.
  • Right to Non-Discrimination. We will not discriminate against you for exercising your CCPA rights. We will not deny goods or services, charge different prices or rates, provide a different level or quality of goods or services, or suggest that you may receive a different price or quality because you exercised your rights, except as permitted by law.

10. Other State Privacy Rights

If you are a resident of a U.S. state with a comprehensive consumer privacy law other than California — currently including Colorado, Connecticut, Virginia, Texas, Oregon, Montana, Delaware, Iowa, Nebraska, New Hampshire, New Jersey, Minnesota, Maryland, Tennessee, Indiana, Kentucky, and Rhode Island, among others — you may have some or all of the following rights, subject to the specific terms, exemptions, and applicability thresholds of your state's law.

  • Right to Confirm and Access. You may request confirmation of whether we process your personal data and access to that data.
  • Right to Delete. You may request that we delete personal data we have collected about you, subject to legal exceptions.
  • Right to Correct. You may request that we correct inaccurate personal data we maintain about you.
  • Right to Data Portability. You may request a copy of the personal data you have provided to us in a portable and, to the extent technically feasible, readily usable format.
  • Right to Opt Out. You may opt out of the processing of your personal data for purposes of targeted advertising, the sale of personal data, or certain profiling in furtherance of decisions that produce legal or similarly significant effects concerning you.
  • Right to Appeal. If we decline to take action on your request, you may appeal our decision as described below.

Universal Opt-Out Mechanisms. Where required by applicable state law, we will process a recognized universal opt-out signal, such as Global Privacy Control, as a valid request to opt out of targeted advertising and the sale of personal data for the browser or device on which it is sent.

How to Exercise These Rights. You may submit a request using the contact information in the Contact Us section below. We may need to verify your identity before processing a request, using a process consistent with the verification described in Section 9.

Appeals. If we decline to take action on a request, you may appeal by replying to our denial notice or by contacting us at [email protected]. We will respond to appeals within the time required by applicable law and, where required, will explain our reasons for any denial.

How to Submit a Request. You may submit a privacy request by contacting us at [email protected], calling 800-790-6988, or writing to us at the address listed below. If the Site includes a webform or privacy choices page, you may also submit requests through that mechanism.

Verification. We may need to verify your identity before processing a request. The information needed for verification may depend on the type of request and the information involved. We will use information provided for verification only to verify and process the request.

Authorized Agents. You may authorize an agent to make a request on your behalf. We may require the agent to provide proof of authorization and may require you to verify your identity directly with us, unless the agent has power of attorney under applicable law.

Timing. We will respond to verifiable consumer requests within the time required by applicable law. If we need additional time, we will notify you as permitted by law.

11. Notice at Collection for California Residents

At or before the point of collection, we provide notice of the categories of personal information we collect and the purposes for which we use the information. The categories of personal information we may collect are listed in Section 1, and the purposes are listed in Section 3.

We may collect, use, disclose, sell, or share the categories of personal information described in this Privacy Policy for the purposes described in this Privacy Policy. We retain personal information as described in Section 7.

If we offer a promotion, discount, loyalty program, sweepstakes, or other financial incentive in exchange for personal information, we will provide any required notice of financial incentive at the time you choose to participate.

12. Security

We use reasonable administrative, technical, and physical safeguards designed to protect personal information. These safeguards may include access controls, password protection, encryption or secure transmission where appropriate, vendor controls, and monitoring for security risks.

No method of transmission over the Internet or method of electronic storage is completely secure. We cannot guarantee absolute security of information transmitted to or stored by us.

13. Third-Party Websites and Services

The Site may link to third-party websites, applications, social media platforms, payment processors, shipping providers, or other services. Their privacy practices are governed by their own privacy policies, not this Privacy Policy. We are not responsible for the privacy practices of third parties.

14. Children’s Privacy

The Site is intended for business customers and consumers who are at least the age of majority in their jurisdiction. We do not knowingly collect personal information from children under 13, and we do not knowingly sell or share personal information of consumers under 16. If you believe a child has provided personal information to us, please contact us and we will take appropriate steps to delete the information where required by law.

15. International Users

The Site is intended for users in the United States. If you access the Site from outside the United States, you understand that your information may be processed in the United States, where privacy laws may differ from those in your jurisdiction. We will use safeguards required by applicable law for international transfers where applicable.
